Delisting from New York Stock Exchange and deregistration of US reporting obligations under the Securities Exchange Act of 1934
Further to the announcement made on 11 December 2007, " Wolseley to delist from New York Stock Exchange, deregister from the Securities Exchange Commission and move from full listing to Level I ADR”, Wolseley plc, the world’s largest specialist trade distributor of plumbing and heating products to professional contractors and a leading supplier of building materials, today announces that following the filing of a Form 25 with the SEC on 21 December 2007, the delisting of American Depositary Receipts (ADRs) (each representing one ordinary share in Wolseley plc), from the New York Stock Exchange is now effective.
As previously indicated, Wolseley intends to maintain its ADR facility as a Level I programme, which means that Wolseley’s ADRs will be traded on the over-the-counter market (OTC) in the United States, under the symbol WOSLY. Wolseley's ordinary shares will continue to trade on the London Stock Exchange. Wolseley plc today filed a Form 15F with the US Securities and Exchange Commission (‘SEC’) to terminate its registration under the US Securities Exchange Act of 1934. The deregistration will be effective 90 days after the filing, unless the Form 15F is withdrawn by Wolseley or denied by the SEC.
